Terms of Service

Please read these terms carefully before using our services. By engaging with ARIA IT Solution, you agree to these conditions.

1. Services Description

ARIA IT Solution provides professional IT consulting and infrastructure services, including but not limited to:

  • Windows to Linux and Linux to Windows OS migration
  • OS deployment and configuration for workstations and servers
  • System and network administration services
  • Cloud infrastructure design, migration, and management
  • Cybersecurity assessment, compliance, and remediation
  • 24/7 IT support and monitoring services
  • IT consulting and strategic planning

The specific scope of services will be defined in individual service agreements or Statements of Work (SOW) negotiated between ARIA IT Solution and the client.

2. Client Obligations

By engaging our services, you agree to the following obligations:

  • Accurate information: Provide complete and accurate information necessary for the delivery of services, including system configurations, access credentials, and network documentation.
  • Timely cooperation: Respond to requests for information, approvals, or access in a timely manner to avoid service delays.
  • Authorized access: Ensure that all access provided to ARIA IT Solution is authorized and does not violate any third-party agreements.
  • Compliance: Ensure that your systems and data comply with applicable laws and regulations, and inform us of any regulatory requirements that may affect our services.
  • Backup responsibility: Maintain adequate backups of your data. While we take reasonable precautions, ultimate responsibility for data backup remains with the client.

3. Payment Terms

Payment terms are as follows unless otherwise specified in a signed service agreement:

Invoicing

Invoices are issued at the start of each service period or upon milestone completion as defined in the SOW.

Payment Due

Payment is due within 30 days of invoice date (net 30). Late payments may incur interest at 1.5% per month.

Currency

All fees are quoted in Euros (EUR) unless otherwise agreed in writing. Applicable VAT will be added per French tax regulations.

Cancellation

Either party may cancel with 30 days written notice. Completed work will be invoiced at the agreed rate.

4. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ARIA IT Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to our services.
  • Our total liability for any claim arising from services provided shall not exceed the total fees paid by the client to ARIA IT Solution in the 12 months preceding the claim.
  • We are not liable for delays or failures caused by circumstances beyond our reasonable control (force majeure), including natural disasters, government actions, or internet service provider failures.
  • We do not guarantee uninterrupted or error-free operation of any systems, networks, or software that we manage or migrate. We commit to using industry best practices and responding promptly to issues.

5. Intellectual Property

The following terms govern the ownership of intellectual property created or used during service delivery:

  • Pre-existing IP: Each party retains ownership of its pre-existing intellectual property. No license is granted to the other party's pre-existing IP except as necessary for service delivery.
  • Work product: Custom configurations, scripts, and documentation created specifically for the client during the engagement shall be owned by the client upon full payment of all applicable fees.
  • Tools and methodologies: ARIA IT Solution retains ownership of its proprietary tools, frameworks, methodologies, and know-how used in providing services.
  • Website content: All content on ariaitsolution.com, including text, graphics, logos, and software, is the property of ARIA IT Solution and protected by intellectual property laws.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of the engagement. Confidential information includes but is not limited to: business strategies, technical specifications, system architectures, security configurations, and pricing information. This obligation survives the termination of any service agreement for a period of 3 years.

7. Termination

Service agreements may be terminated under the following conditions:

  • By either party: With 30 days written notice for monthly service agreements, or as specified in the SOW for project-based engagements.
  • For cause: Either party may terminate immediately upon written notice if the other party materially breaches these terms and fails to cure such breach within 15 days of receiving notice.
  • Upon termination: The client shall pay all outstanding fees for services rendered. ARIA IT Solution will provide a reasonable transition period and return or securely destroy client data as directed.

8. Warranty Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure. We commit to professional standards and best efforts in delivering all services.

9. Governing Law and Dispute Resolution

These Terms of Service are governed by and construed in accordance with the laws of France, without regard to its conflict of law principles.

Jurisdiction: The courts of Paris, France shall have exclusive jurisdiction over any disputes arising from these terms.

Mediation: Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation and, if necessary, mediation administered by the Centre de Médiation et d'Arbitrage de Paris (CMAP).

10. Modifications to Terms

ARIA IT Solution reserves the right to modify these Terms of Service at any time. Material changes will be communicated to existing clients via email with at least 30 days notice. Continued use of our services after changes become effective constitutes acceptance of the revised terms.

11. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
